Purpose
To act on behalf of the Board on matters of extreme importance that require attention between scheduled board meetings. Management shall endeavor to conduct such business by telephone, fax, or email but the executive committee shall have the power to act on behalf of the entire board if a quorum of board members is not attained or if an immediate decision on an action is required.
